By accessing this website or initiating an engagement with DevConex, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions, along with our Privacy Policy, which is incorporated herein by reference.

These Terms apply to all service engagements unless superseded by a separate written contract signed by authorized representatives of both parties. In the event of a conflict between these general Terms and a specific project contract, the specific contract shall prevail.

DevConex provides custom technology solutions including but not limited to the following service areas:

• UI/UX Design

• Frontend Development

• Backend Development

• Mobile Development

• AI Development

• Web Development

The specific deliverables, timelines, and compensation for each project will be defined in a separate Statement of Work (SOW) or project proposal agreed upon in writing by both parties prior to commencement of work.
DevConex reserves the right to subcontract portions of the services to qualified third-party specialists, provided such subcontractors are bound by appropriate confidentiality and quality agreements.

To ensure successful project delivery, clients are expected to fulfill the following obligations:

• Provide accurate, complete, and timely information, materials, and approvals required for project execution within agreed response windows.
• Designate a primary point of contact with decision-making authority who is responsible for approvals and feedback.
• Make payments in accordance with the agreed payment schedule set forth in the project contract or Statement of Work.
• Review and provide feedback or approval on deliverables within the timelines specified in the project plan.
• Ensure that any materials provided to DevConex (including content, images, and data) do not infringe on the intellectual property rights of third parties.
• Use the delivered software and services only in accordance with applicable laws and regulations.

Delays caused by the client's failure to meet these obligations may result in project timeline extensions or additional charges, which will be communicated in advance.

Both parties agree to maintain strict confidentiality with respect to any proprietary or sensitive information shared during the course of an engagement. This obligation applies to:

• Business strategies, plans, financial information, and trade secrets disclosed by either party.
• Technical specifications, source code, architecture designs, and system documentation.
• Customer data, user information, and any personally identifiable information accessed during the project.
• Pricing, contractual terms, and any other commercial information shared in confidence.

Confidentiality obligations survive the termination of this agreement for a period of three (3) years. For projects involving particularly sensitive data, a separate Non-Disclosure Agreement (NDA) may be executed prior to engagement.

Confidentiality obligations

Confidentiality obligations do not apply to information that is or becomes publicly available through no fault of either party, or information that must be disclosed pursuant to applicable law or court order.

DevConex warrants that the services provided will be performed with reasonable skill, care, and professionalism in accordance with industry standards. We commit to:

• Delivering work that materially conforms to the agreed specifications in the project contract or SOW.
• Notifying clients promptly of any issues that may affect timelines, quality, or scope of deliverables.
• Providing a reasonable warranty period post-delivery for bug fixes directly related to our work, as specified in the project agreement.

Disclaimer
Except as expressly stated, DevConex disclaims all implied warranties including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that services will be error-free or uninterrupted, or that they will meet all client expectations beyond the defined scope.

To the maximum extent permitted by applicable law, DevConex's total liability to any client for any claims arising out of or related to our services shall not exceed the total fees paid by the client in the three (3) months preceding the event giving rise to the claim.

In no event shall DevConex be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities resulting from the use or inability to use our services.
• Loss of data or corruption of data due to events beyond our reasonable control.
• Costs of procurement of substitute services or technology.
• Reputational damage or loss of goodwill not directly caused by our gross negligence or willful misconduct.

These limitations apply regardless of the theory of liability — whether in contract, tort, negligence, or otherwise — and even if DevConex has been advised of the possibility of such damages.

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law provisions.

Any legal proceedings not subject to arbitration under Section 10 shall be brought exclusively in the state or federal courts located in Palm Beach County, Florida. Both parties consent to the personal jurisdiction of such courts.

DevConex reserves the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to our website. For active clients under existing project agreements, material changes to these Terms will be communicated directly via email at least 14 days before taking effect.

Continued use of our services after any changes constitutes acceptance of the updated Terms. We recommend reviewing this page periodically. The 'Last Updated' date at the top of this page indicates when the most recent revision was made.
